This MASTER PURCHASE AND SALE AND CONTRIBUTION AGREEMENT dated as of March 19, 2012 is made and entered into by and among Prospect Capital Corporation, a Maryland corporation (“Purchaser”), the Purchaser LLC’s (as defined below), First Tower Corp., a Mississippi corporation (the “Company”), and the shareholders of the Company named on the signature pages hereto (each a “Signing Shareholder” and collectively, the “Signing Shareholders”).
