This Amended and Restated Employment Agreement (as amended and restated, this “Agreement”) is made as of April 26, 2012 by and between Scientific Games Corporation, a Delaware corporation (the “Company”), and Jeffrey S. Lipkin (“Executive”), and amends and restates in its entirety the original employment agreement between the parties made as of March 2, 2009 but effective as of April 1, 2009.
