THIS LOAN AND SECURITY AGREEMENT (this “Agreement”) dated as of July 5, 2012 (the “Effective Date”) between NORTHEAST LCD CAPITAL, LLC, a Maine limited liability company (“Lender”), the Subsequent Lenders (as defined below) from time to time party hereto, and LUCID, INC., a New York corporation (“Borrower”), provides the terms on which Lender and the Subsequent Lenders shall lend to Borrower and Borrower shall repay Lender and the Subsequent Lenders.
