THIS AGREEMENT AND PLAN OF REORGANIZATION (“Agreement”) is made as of this day of , 2012, by Munder Series Trust (“MST”), a Delaware statutory trust, with its principal place of business at 480 Pierce Street, Birmingham, Michigan 48009, on behalf of the Munder International Fund — Core Equity (“Acquiring Fund”) and on behalf of the Munder International Equity Fund (“Acquired Fund”), each a separate series of MST.
