This AGREEMENT AND PLAN OF MERGER, dated as of October 3, 2012 (this “Agreement”), is by and between BioSante Pharmaceuticals, Inc., a Delaware corporation (the “Company”), and ANIP Acquisition Company (d/b/a ANI Pharmaceuticals), a Delaware corporation (“ANI”).
