This Second Supplemental Indenture, dated as of October 5, 2012 (the “Supplemental Indenture”), to the Indenture, dated as of July 15, 2003 (the “Base Indenture” and, together with the Supplemental Indenture, the “Indenture”) by and between Montpelier Re Holdings Ltd., a company duly organized and existing under the laws of Bermuda, having its principal executive office located at 94 Pitts Bay Road, Pembroke, HM 08, Bermuda (the “Company”), as issuer, and The Bank of New York Mellon, a New York banking corporation, having its corporate trust office located at 101 Barclay Street, Floor 8 West, New York, New York 10286 (the “Trustee”), as trustee, is effective upon the execution hereof by the parties hereto.
