THIS PURCHASE AND SALE AGREEMENT is made and entered into as of November 21, 2012 (the “Effective Date”) by and among PARK PLACE NURSING & REHABILITATION CENTER, LLC, an Alabama limited liability company, HOMEWOOD OF SELMA, L.L.C., an Alabama limited liability company, HOMEWOOD OF GREENVILLE, L.L.C., an Alabama limited liability company, DUNN NURSING HOME, INC., an Alabama corporation, WOOD PROPERTIES OF SELMA, L.L.C., an Alabama limited liability company, and WOOD PROPERTIES OF GREENVILLE, L.L.C., an Alabama limited liability company (individually, a “Seller” and collectively, “Sellers”) and ADCARE PROPERTY HOLDINGS, LLC, an Ohio limited liability company or its permitted assigns (“Purchaser”).
