THIS CONTRIBUTION AGREEMENT (this “Agreement”) is made as of this 21st day of October, 2012 (the “Effective Date”) between ALEXANDER’S KINGS PLAZA, LLC, a Delaware limited liability company, ALEXANDER’S OF KINGS, LLC, a Delaware limited liability company and KINGS PARKING, LLC, a Delaware limited liability company, each having an address of c/o Vornado Realty Trust, 888 Seventh Avenue, New York, New York 10019 (collectively, “Contributor”), and BROOKLYN KINGS PLAZA LLC, a Delaware limited liability company, having an address c/o Manatt, Phelps & Phillips, LLP, 7 Times Square, New York, New York 10036, Attn: K.
