This FIRST AMENDMENT dated as of December 19, 2012 (this “Amendment”) amends the Fifth Amended and Restated Credit Agreement dated as of June 30, 2011 (the “Credit Agreement”) among REGIS CORPORATION, a Minnesota corporation (the “Company”), various financial institutions and JPMORGAN CHASE BANK, N.A., as Administrative Agent (in such capacity, the “Administrative Agent”).
