This AMENDED AND RESTATED VOTING AGREEMENT (this “Agreement”), dated as of April 12, 2013, is by and between ANIP Acquisition Company, a Delaware corporation (“ANI”), and the undersigned stockholder (“Stockholder”) of BioSante Pharmaceuticals, Inc., a Delaware corporation (the “Company”), identified on the signature page hereto.

This Amended and Restated Agreement and Plan of Merger, dated as of April 12, 2013 (this “Agreement”), is by and among BioSante Pharmaceuticals, Inc., a Delaware corporation (the “Company”), ANI Merger Sub Inc., a Delaware corporation and a wholly owned subsidiary of the Company (“Merger Sub”) and ANIP Acquisition Company (d/b/a ANI Pharmaceuticals), a Delaware corporation (“ANI”). The Company, Merger Sub and ANI are sometimes referred to in this Agreement as the “Parties”.
