FIRST SUPPLEMENTAL INDENTURE (this “Supplemental Indenture”), dated as of April 30, 2013, among PennyMac Corp., a Delaware corporation (the “Company”), PennyMac Mortgage Investment Trust, a Maryland real estate investment trust (the “Guarantor”), and The Bank of New York Mellon Trust Company, N.A.
