This REGISTRATION RIGHTS AGREEMENT dated as of May 6, 2013 (the “Agreement”) is entered into by and among CORPORATE OFFICE PROPERTIES, L.P., a Delaware limited partnership (the “Operating Partnership”), CORPORATE OFFICE PROPERTIES TRUST, a Maryland real estate investment trust (the “Guarantor”), J.P. MORGAN SECURITIES LLC and WELLS FARGO SECURITIES, LLC, as representatives (the “Representatives”) of the several initial purchasers (the “Initial Purchasers”).
