AMENDMENT TO FORBEARANCE AGREEMENT, dated as of June 13, 2013 (this “Agreement”), is executed and delivered in connection with that certain Forbearance Agreement, dated as of April 30, 2013 (the “Forbearance Agreement”; unless otherwise defined herein, capitalized terms are used herein as defined in the Forbearance Agreement), among UNITEK GLOBAL SERVICES, INC., a Delaware corporation, certain subsidiaries thereof (collectively, the “Borrowers”), the several banks and other financial institutions or entities from time to time parties thereto (the “Lenders”), and PNC BANK, NATIONAL ASSOCIATION, as agent (in such capacity, the “Agent”).

FORBEARANCE AGREEMENT, dated as of June 7, 2013 (this “Agreement”), in respect of the CREDIT AGREEMENT, dated as of April 15, 2011 (as amended on September 14, 2012, and as in effect on the date immediately prior to the date hereof, the “Credit Agreement”; unless otherwise defined herein, capitalized terms are used herein as defined in the Credit Agreement), among UNITEK GLOBAL SERVICES, INC., a Delaware corporation (the “Borrower”), the several banks and other financial institutions or entities from time to time parties thereto (the “Lenders”), FBR CAPITAL MARKETS LT, INC., as documentation agent, syndication agent and administrative agent (in such capacity, the “Agent”).
