THIS STOCK PURCHASE AGREEMENT (this “Agreement”) is entered into as of July 15, 2013, by and among Joe’s Jeans Inc., a Delaware corporation (“Buyer”), Hudson Clothing Holdings, Inc., a Delaware corporation (the “Company”), Fireman Capital CPF Hudson Co-Invest LP, a Delaware limited partnership (“Fireman”), Peter Kim (“Kim”), Paul Cardenas (“Cardenas”), Tony Chu (“Chu”) and each of the other individuals listed on the signature pages hereof for persons selling options (the “Option Sellers” and together with Fireman, Kim, Cardenas and Chu, each a “Seller”, collectively the “Sellers” and, together with the Acquired Entities, the “Seller Parties”) and Fireman in its capacity as Sellers’ Representative for itself and the Fireman Option Sellers, and Kim, in his capacity as Sellers’ Representatives for himself and each of Cardenas, Chu and the Management Option Sellers (collectively, the “Sellers’ Representatives”).
