This SUB-ADVISORY AGREEMENT is made as of December 31, 2012, by and between TOUCHSTONE ADVISORS, INC., an Ohio corporation (the “Advisor”), and ANALYTIC INVESTORS, LLC, a Delaware limited liability company (the “Sub-Advisor”).
