This REGISTRATION RIGHTS AGREEMENT, dated October 11, 2013 (the “Agreement”), is entered into by and among Sinclair Television Group, Inc., a Maryland corporation (the “Company”), the guarantors listed on Schedule 1 hereto (the “Guarantors”), and Deutsche Bank Securities Inc. (“Deutsche Bank”) as representative for J.P. Morgan Securities LLC, RBC Capital Markets, LLC, SunTrust Robinson Humphrey, Inc. and Wells Fargo Securities, LLC (collectively, with Deutsche Bank, the “Initial Purchasers”).
