THIS ASSET PURCHASE AGREEMENT (this “Agreement”) is made and entered into as of the 4th day of December, 2013(the “Effective Date”), by and among Isle of Capri Casinos, Inc., a Delaware corporation (“Seller Parent”), solely for the purposes of Sections 6.20(b), 6.23, 6.25 and 11.17, IOC Davenport, Inc., an Iowa corporation (“Seller”), Scott County Casino, LLC (f/k/a Kehl Development-Scott County, LLC), an Iowa limited liability company (“Buyer”), and Kehl Development Corporation, an Iowa corporation, solely for the purposes of Sections 6.20(a) and 6.23. Capitalized terms used in this Agreement and not otherwise defined shall have the meanings set forth in Section 11.1(a).
