This FIRST AMENDMENT TO SERIES B UNIT PURCHASE AGREEMENT, dated as of January 31, 2014 (this “Agreement”), is entered into by and among American Midstream Partners, LP, a Delaware limited partnership (“AMID”), American Midstream GP, LLC, a Delaware general partnership (“American Midstream GP”), and High Point Infrastructure Partners, LLC, a Delaware limited liability company (“HPIP,” and along with American Midstream GP, the “Purchasers”). Any capitalized term used and not defined herein shall have the meaning assigned to such term in that certain Series B Unit Purchase Agreement, by and among AMID and the Purchasers, dated January 22, 2014 (the “Purchase Agreement”).

This Amendment No. 2 (this “Amendment”) to the Fourth Amended and Restated Agreement of Limited Partnership of American Midstream Partners, LP (the “Partnership”), dated as of August 9, 2013, as amended by that certain Amendment No. 1 to the Fourth Amended and Restated Agreement of Limited Partnership of American Midstream Partners, LP, adopted effective as of October 28, 2013 (together, the “Partnership Agreement”), is hereby adopted effective as of January 31, 2014 by American Midstream GP, LLC, a Delaware limited liability company (the “General Partner”), as general partner of the Partnership, pursuant to the authority granted to it in Section 5.6 and Section 13.1 of the Partnership Agreement. Capitalized terms used but not defined herein have the meaning given such terms in the Partnership Agreement.

Shipper will submit monthly nomination quantities stated in MMBtus for each Month not later than the 25th Day of the prior Month. All nominations shall be made to American Midstream’s electronic bulletin board, unless otherwise mutually agreed. Nominations must designate the Receipt Points and Delivery Points to be used and the estimated monthly quantities to be received at each Receipt Point and delivered at each Delivery Point.
