MarkWest Energy Partners, L.P., a Delaware limited partnership (the “Partnership”), MarkWest Energy Operating Company, L.L.C., a Delaware limited liability company (the “Operating Company” and, together with the Partnership, the “MarkWest Parties”), and M&R MWE Liberty, LLC, a Delaware limited liability company (the “Selling Unitholder”), hereby confirm their agreement (this “Agreement”) with Citigroup Global Markets Inc., J.P. Morgan Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated and UBS Securities LLC (each a “Manager” and collectively the “Managers”) as follows:
