THIS STOCK PURCHASE AGREEMENT (this “Agreement”) is dated as of March 14, 2014, by and among Todd Sims, an individual (“Sims”), James Reichardt, an individual (“Reichardt”; and together with Sims, the “Seller”), SFX Entertainment, Inc., a Delaware corporation (“Parent”), and 430R Acquisition LLC, a Delaware limited liability company and wholly-owned subsidiary of Parent (“Acquisition Company”).
