This DISTRIBUTION AGREEMENT by and between PROTECTIVE LIFE AND ANNUITY INSURANCE COMPANY (“Insurer”), a life insurance company organized and existing under the laws of the State of Alabama, and licensed in the State of New York, on its behalf and on behalf of each separate account identified in Schedule 1 hereto, and INVESTMENT DISTRIBUTORS, INC. (“Distributor”), a corporation organized and existing under the laws of the State of Tennessee, is entered into this 24rd day of October, 2013.
