This REGISTRATION RIGHTS AGREEMENT (this “Agreement”), is entered into as of May 2, 2014, by and between Kensico Capital Management Corporation, Kensico Partners, LP, Kensico Associates, LP, Kensico Offshore Fund Master, Ltd and Kensico Offshore Fund II Master Ltd. (collectively, the “Shareholder”), and Dorian LPG Ltd., a Marshall Islands corporation (the “Company” and together with the Shareholder, the “Parties” and each a “Party”).
