This SIXTH AMENDED AND RESTATED CREDIT AGREEMENT (this “Agreement”) is entered into as of June 5, 2014, among TUTOR PERINI CORPORATION, a Massachusetts corporation (the “Borrower”), the Guarantors defined herein from time to time party hereto, each lender from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”), and BANK OF AMERICA, N.A., as Administrative Agent, Swing Line Lender and L/C Issuer. This Agreement amends and restates in its entirety the Fifth Amended and Restated Credit Agreement dated as of August 3, 2011 (the “Existing Credit Agreement”) among the Borrower, Bank of America, N.A., as Administrative Agent (the “Existing Agent”), Merrill Lynch, Pierce, Fenner & Smith, Incorporated, as the Lead Arranger and Sole Book Manager, and the agents and lenders party thereto (collectively, the “Existing Lenders”).
