THIS PROPERTY MANAGEMENT AGREEMENT (the “Agreement”) is made and entered into as of the day of [ ], 2014 (the “Commencement Date”), between AMERICAN HOMES 4 RENT II, LLC, a Delaware limited liability company (“Owner”), AMERICAN HOMES 4 RENT MANAGEMENT HOLDINGS COMPANY, LLC, a Delaware limited liability company (“Property Manager”) and AMERICAN HOMES 4 RENT, LLC (“AH LLC”) solely with respect to Section 3.09 of this Agreement.

THIS LIMITED LIABILITY COMPANY AGREEMENT OF AMERICAN HOMES 4 RENT II, LLC (the “Agreement”) dated as of June 16, 2014 (the “Execution Date”) and effective as of June 3, 2014 (the “Effective Date”), concerning AMERICAN HOMES 4 RENT II, LLC, a Delaware limited liability company (the “Company”), is entered into by and among ALASKA PERMANENT FUND CORPORATION, acting for and on behalf of the funds over which the Alaska Permanent Fund Corporation is designated by Alaska Statutes 37.13 to manage and invest (together with its permitted successors and assigns, the “APFC Member”), American Homes 4 Rent L.P., a Delaware limited partnership (together with permitted successors and assigns, the “American Member”) and AMERICAN HOMES 4 RENT, LLC, a Delaware limited liability company (together with its permitted successors and assigns, the “AH LLC”) (as to Section 7.2 of this Agreement only).
