This REGISTRATION RIGHTS AGREEMENT, dated July 23, 2014 (the “Agreement”), is entered into by and among Sinclair Television Group, Inc., a Maryland corporation (the “Company”), the guarantors listed on Schedule 1 hereto (the “Guarantors”), and J.P. Morgan Securities LLC (“J.P. Morgan”) as representative for RBC Capital Markets, LLC, Wells Fargo Securities, LLC, SunTrust Robinson Humphrey, Inc., Deutsche Bank Securities Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated, Mitsubishi UFJ Securities (USA), Inc., Moelis & Company LLC and LionTree Advisors LLC (collectively, with J.P. Morgan, the “Initial Purchasers”).
