This EMPLOYEE PROTECTION AND NONCOMPETITION AGREEMENT (“Agreement”) by and between VENTAS, INC., a Delaware corporation (the “Company”), and Robert F. Probst (“Executive”) is effective immediately upon execution with respect to Section 3(a) of this Agreement and will become effective with respect to the rest of this Agreement upon Executive’s commencement of employment with the Company (the “Effective Date”).
