THIS DIRECTOR COMPENSATION AGREEMENT (“Agreement”) is made and entered into as of the effective date of the merger of Virginia Heritage Bank (“VHB”) and EagleBank (the “Effective Date”), by and among Eagle Bancorp, Inc., a Maryland corporation (“Bancorp”), EagleBank, a Maryland chartered commercial bank and the wholly owned subsidiary of Bancorp (the “Bank”), and David P.
