THIS SECOND AMENDED AND RESTATED AGREEMENT OF LIMITED PARTNERSHIP OF EL PASO PIPELINE PARTNERS, L.P. dated as of November 26, 2014, is entered into by and between El Paso Pipeline GP Company, L.L.C., a Delaware limited liability company, as the General Partner and El Paso Pipeline LP Holdings, L.L.C., a Delaware limited liability company, Kinder Morgan (Delaware), Inc., a Delaware corporation, and El Paso Pipeline GP Company, L.L.C. as the Limited Partners.
