CREDIT AGREEMENT, dated as of December 16, 2014 (as the same may be amended, supplemented or otherwise modified from time to time after the date hereof, this Agreement), among B/E AEROSPACE, INC., a Delaware corporation (the Company), the several Lenders from time to time parties hereto, JPMORGAN CHASE BANK, N.A., as administrative agent for the Lenders, CITIGROUP GLOBAL MARKETS INC. and GOLDMAN SACHS BANK USA, as syndication agents for the Lenders, and CREDIT SUISSE AG, CAYMAN ISLANDS BRANCH, TD BANK, N.A., ROYAL BANK OF CANADA, DEUTSCHE BANK SECURITIES INC., BARCLAYS BANK PLC, BANK OF TOKYO-MITSUBISHI UFJ, LTD. and CAPITAL ONE BUSINESS CREDIT CORP. as documentation agents for the Lenders.
