THIS EXPENSE REIMBURSEMENT AGREEMENT (the “Agreement”) is made as of December 23, 2014 by and between Sentinel Asset Management, Inc. (“Sentinel”) and Sentinel Group Funds, Inc. (the “Corporation”), on behalf of itself and the funds listed in Appendix A hereto, each such fund a series of the Corporation (each a “Fund”, and collectively, the “Funds”).
