THIS AGREEMENT AND PLAN OF MERGER (“Agreement”) is made and entered into as of February 5, 2015, by and among: R.R. DONNELLEY & SONS COMPANY, a Delaware corporation (“Parent”); RAVEN SOLUTIONS, INC., a Massachusetts corporation and a direct, wholly-owned subsidiary of Parent (“Merger Sub”); RAVEN VENTURES LLC, a Massachusetts limited liability company and a direct, wholly-owned subsidiary of Parent (“Merger LLC”); and COURIER CORPORATION, a Massachusetts corporation (the “Company”).
