THIS SUPPLEMENTAL INDENTURE NO. 6, dated as of February 24, 2015 (this “Supplemental Indenture”), by and among USG CORPORATION, a Delaware corporation (the “Company”), each of UNITED STATES GYPSUM COMPANY, a Delaware corporation, L&W SUPPLY CORPORATION, a Delaware corporation, USG FOREIGN INVESTMENTS, LTD., a Delaware corporation, and USG INTERIORS, LLC, a Delaware limited liability company (collectively, the “Guarantors”), and U.S. BANK NATIONAL ASSOCIATION, a national banking association, as successor trustee (the “Trustee”).
