This Second Amendment to Rights Agreement (this “Amendment”), dated as of March 16, 2015 (the “Effective Date”), is by and between CF Industries Holdings, Inc., a Delaware corporation (the “Company”), and Computershare Inc., a Delaware corporation, as successor rights agent to Mellon Investor Services, LLC (as successor rights agent to The Bank of New York), as rights agent (the “Rights Agent”). Any capitalized term used but not defined herein has the meaning assigned to it in the Rights Agreement.
