This AMENDMENT NO. 1 TO ADMINISTRATIVE SERVICE AGREEMENT (the “Amendment”), dated as of May 1, 2015, is by and among Integrity Life Insurance Company (the “Company”) and Morgan Stanley Distribution, Inc. (the “Distributor”). This Amendment hereby amends the Administrative Service Agreement, dated as of May 1, 2008, by and between the Company and the Distributor (the “Agreement”). Capitalized terms used but not defined herein shall have the meanings ascribed to them in the Agreement.

This AMENDMENT NO.3 TO PARTICIPATION AGREEMENT (the “Amendment”) is made and entered into as of the 1st day of May, 2015, by and among INTEGRITY LIFE INSURANCE COMPANY (the “Company”), on its own behalf and on behalf of each separate account of the Company identified in the Agreement (as defined below), THE UNIVERSAL INSTITUTIONAL FUNDS, INC. (the “Fund”), MORGAN STANLEY DISTRIBUTION, INC. (as successor-in-interest to Morgan Stanley & Co. Incorporated) (the “Underwriter”) and MORGAN STANLEY INVESTMENT MANAGEMENT INC. (the “Adviser”).

The Universal Institutional Funds, Inc. (the “Fund”), Morgan Stanley Distribution, Inc. (the “Distributor”), Morgan Stanley Investment Management Inc. (the “Adviser”) and Integrity Life Insurance Company (the “Company”) have entered into a Participation Agreement, dated as of January 2, 2003, as may be amended from time to time (the “Participation Agreement”), providing for the purchase by the Company of Class I and/or Class II shares of certain series of the Fund specified on Schedule B to the Participation Agreement (the “Portfolios”), on behalf of the Company’s separate account(s) to fund certain variable life and/or variable annuity contracts (the “Contracts”), each as specified on Schedule A to the Participation Agreement.

The Fund Participation and Service Agreement (the “Agreement”), dated December 13, 2013, by and among Integrity Life Insurance Company, for itself and on behalf of one or more separate accounts of the Insurance Company, American Funds Distributors, Inc., American Funds Service Company, Capital Research and Management Company, and the American Funds Insurance Series, is hereby amended.
