This FIRST AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT (this “Agreement”) of EQT GP Services, LLC (the “Company”), dated May 15, 2015, is adopted, executed and agreed to by EQT Gathering Holdings, LLC, a Delaware limited liability company, as the sole member of the Company (in such capacity, the “Sole Member”).
