In connection with the proposed acquisition (the “Transaction”) by Boulevard Acquisition Corp., a Delaware corporation (the “Company”), of all of the issued and outstanding capital stock of AgroFresh Inc., the Company is seeking commitments from certain of its existing stockholders and other persons known to the Company to purchase shares of the Company’s common stock, par value $0.0001 per share (the “Shares”), for a purchase price of $10.25 per share, in a private placement in which the Company expects to raise an aggregate of $50,000,000 (subject to increase or decrease in the discretion of the Company).
