We refer to the Distribution Agreement, dated September 28, 2009, as amended by the First Amendment thereto, dated September 28, 2012 (as so amended, the “Distribution Agreement”), by and among McDonald’s Corporation, a Delaware corporation (the “Company”), and the Agents named therein, relating to the Medium-Term Notes Program described above. The purpose of this letter is to supplement and amend the Distribution Agreement as hereinafter set forth. Capitalized terms used but not defined herein shall have the meanings given to them in the Distribution Agreement.
