THIS CONSORTIUM AGREEMENT is made as of July 21, 2015 (the “Agreement”), by and between CNshangquan Limited (“CNshangquan”), and Leading Capital Co. Ltd. (“Leading Capital”). Each of CNshangquan and Leading Capital is referred to herein as a “Party”, and collectively, the “Parties”. Unless otherwise defined herein, capitalized terms used herein shall have the meanings assigned to them in Section 10.1 hereof.
