This Consulting Agreement and Release (“Agreement”) is entered into by R. Michael Rouleau (“Consultant”) and Tuesday Morning Corporation, a Delaware corporation (the “Company”), on September 28, 2015 and is effective as of 5 p.m. Central Time on September 28, 2015 (the “Effective Date”).
