This Registration Agreement (this “Agreement”), dated November 13, 2015, is entered into by and among Level 3 Financing Inc., a Delaware corporation (the “Issuer”), Level 3 Communications, Inc., a Delaware corporation (the “Parent”) and Citigroup Global Markets Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated, Morgan Stanley & Co. LLC, Barclays Capital Inc., Credit Suisse Securities (USA) LLC, Goldman, Sachs & Co. and J.P. Morgan Securities LLC (the “Purchasers”).
