This CONSULTING SERVICES AGREEMENT (the “Agreement”) is made and entered into as of January 1, 2016 (the “Effective Date”), by and between: WARREN RESOURCES, INC., a Maryland corporation (the “Company”), whose address is 1331 17th Street, Suite 720, Denver, CO 80202; and Jeffrey R.
