This RESTRUCTURING SUPPORT AGREEMENT (as amended, supplemented or otherwise modified from time to time in accordance with the terms hereof, this “Agreement”), dated as of January 31, 2016, is entered into by and among (i) (x) SFX Entertainment, Inc. (“SFX”) and (y) all other SFX Entities(1) that commence the Chapter 11 Cases (collectively with SFX, the “Company”), each on behalf of itself and its respective domestic and controlled foreign subsidiaries and controlled affiliates, (ii) each of the beneficial owners (or investment managers or advisors for the beneficial owners) of the Second Lien Notes identified on the signature pages hereto and also identified on Schedule 1 hereto (such persons and entities described in this clause (ii), together with any of their respective successors and permitted assigns under this Agreement, each, an “Initial Consenting Noteholder” and, collectively, the “Initial Consenting Noteholders”), (iii) each of the other beneficial owners (or investment manag
