THIS STOCK PURCHASE AGREEMENT (this “Agreement”), is dated as of May [24], 2016, by and among MACKINAC FINANCIAL CORPORATION, a Michigan corporation (“Mackinac”), and THE INDIVIDUALS LISTED ON THE SIGNATURE PAGE HERETO (collectively, “Sellers”), and NIAGARA BANCORPORATION, INC., a Wisconsin corporation (“Niagara”).
