This Registration Rights Agreement (this “Agreement”) is made and entered into as of October 21, 2016, by and among (i) Midstates Petroleum Company, Inc., a Delaware corporation (the “Company”), (ii) the Holders (as defined below) of Company Common Stock (as defined below) listed on Schedule I hereto and (iii) the Holders of Warrants (as defined below) listed on Schedule II hereto. The Company and the Holders are referred to collectively herein as the “Parties”.
