THIS AMENDED AND RESTATED ADMINISTRATION AGREEMENT (this “Agreement”) is made as of the 10th day of February, 2017 (the “Effective Date”), by and among Schroder Series Trust, a Massachusetts business trust (the “Trust”), SEI Investments Global Funds Services, a statutory trust formed under the laws of the State of Delaware (the “Administrator”), and Schroder Investment Management North America Inc. (“Investment Advisor”). For purposes of clarification, the Investment Advisor is a party to this Agreement in its limited capacity as indicated in Sections 5.01, 5.06, 9.02.03, Section 11, applicable provisions of Section 12 and applicable provisions of Schedule III (Schedule of Fees).

This Amended and Restated Management Contract (the “Contract”) dated as of February 10, 2017 is between SCHRODER SERIES TRUST, a Massachusetts business trust (the “Trust”), on behalf of Schroder Emerging Markets Small Cap Fund and Schroder Short Duration Bond Fund (each, a “Fund”), and Schroder Investment Management North America Inc., a Delaware corporation (the “Manager”). This Contract amends and restates the Management Contract between the Trust, on behalf of the Fund, and the Manager dated as of August 6, 2015.

This Amended and Restated Management Contract (the “Contract”) dated as of February 10, 2017 is between SCHRODER SERIES TRUST, a Massachusetts business trust (the “Trust”), on behalf of Schroder Long Duration Investment-Grade Bond Fund (the “Fund”), and SCHRODER INVESTMENT MANAGEMENT NORTH AMERICA INC., a Delaware corporation (the “Manager”). This Contract amends and restates the Management Contract, dated as of June 18, 2013, between the Trust and the Manager, solely with respect to the Fund and not with respect to Schroder Broad Tax-Aware Value Bond Fund (formerly, “Schroder STW Broad Tax-Aware Value Bond Fund”).
