THIS RETIREMENT AGREEMENT AND RELEASE (“Agreement”) is made and entered into by and between J. Douglas Cheatham (hereinafter referred to as “Executive”), Old Second Bancorp, Inc. (“Old Second”) and Old Second National Bank (the “Bank,” and together with Old Second, the “Company”) (the Company and Executive being herein each referred to as a “Party” and collectively referred to as the “Parties”).
