BLACKROCK VARIABLE SERIES FUNDS, INC. (the “Company”), on behalf of each of its series as may be amended from time to time (the “Portfolios”), Pacific Life Insurance Company, Pacific Life & Annuity Company (each an “Insurance Company”), and PACIFIC SELECT DISTRIBUTORS, LLC (the “Product Distributor”) mutually agree to the arrangements set forth in this Agreement (the “Agreement”) dated as of 10/01/2016.
