THIS ASSET PURCHASE AGREEMENT (this “Agreement”) is made as of May 4, 2017 (the “Effective Date”), by and among CWI, Inc., a Kentucky corporation (“Buyer”), and Gander Mountain Company, a Minnesota corporation (“Company”), and certain of its Subsidiaries set forth on Annex A hereto (collectively, “Sellers” and each individually a “Seller”).
