Fortis Inc., a corporation continued under the Corporations Act (Newfoundland and Labrador) (“Fortis” or the “Corporation”), confirms its agreement (this “Agreement”) with Scotia Capital Inc., TD Securities Inc., Morgan Stanley Canada Limited and Wells Fargo Securities Canada, Ltd. (collectively, “Canadian Agents”), and Scotia Capital (USA) Inc., TD Securities (USA) LLC, Morgan Stanley & Co. LLC and Wells Fargo Securities, LLC (collectively, “U.S. Agents”, and together with the Canadian Agents, the “Agents”) to issue and sell common shares of the Corporation upon and subject to the terms and conditions contained herein. Capitalized terms used herein have the meanings given to them in Section 24 hereof.
