This letter (the “Agreement”) confirms the agreement between you and Innoviva, Inc. (the “Company”) regarding your resignation of employment with the Company at the request of the Company’s Board of Directors (the “Board”). You acknowledge that the only payments and benefits that you are entitled to receive from the Company in the future are those specified in this Agreement.
